LLC Formation in Arizona

An Arizona limited liability company, or LLC, is a flexible type of legal entity that can provide just what its name states: limited liability.

In general, an LLC is a hybrid entity and combines aspects of corporations, e.g. limited liability, and aspects of partnerships, e.g. minimal formational & operational formalities. These aspects allow LLCs to be used for many different purposes, ranging from asset protection to operating businesses. For example, Arizona LLCs are commonly used to own assets often associated with liability, e.g. real property, in order to otherwise insulate the LLC's members from liabilities associated with an LLC.

In addition, an LLC is perhaps the most tax-flexible type of limited liability entity in the United States and can be taxed either as: 1) a disregarded entity, 2) a partnership, 3) an S-Corporation, or 4) a C-Corporation.

The name must contain the words "Limited Liability Company" or "Limited Company" or the abbreviations "L.L.C.", "L.C.", "LLC" or "LC".

At Cook & Cook, we assist our clients with many issues related Arizona's LLC laws, but perhaps the most common service we provide is organizing Arizona LLCs. In order to organize an LLC, we generally:

  1. Meet with our clients to determine whether an LLC is the most adequate type of limited liability entity for their needs;
  2. Draft and file articles of organization to satisfy the requirements of Arizona's LLC Act;
  3. Draft an operating agreement to meet the needs of the owners of the LLC, called members;
  4. Submit the LLC for publication in accordance with the publication requirements of the LLC Act; and
  5. Serve as statutory agent to receive service of process on behalf of the LLC.

If you would like to speak with an attorney about organizing an LLC or other the LLC-related services we provide, please contact us via phone or email.

This brief overview of some important considerations associated with Arizona LLCs is by no means comprehensive. Always seek the advice of a competent professional when making important financial and legal decisions.
